Please review these Terms and Conditions carefully. By accessing, purchasing, or using CoachX (operated by Subhash Yadav / CoachX at smartcoachx.com and subhashyadav.in), you acknowledge and agree to comply with and be bound by the following terms.
• Nature of Business: 100% Cloud SaaS platform and digital educational masterclasses.
• Delivery Mode: Instant electronic access (0 to 5 mins) upon successful online payment confirmation.
• Transaction Currency: Billed in Indian Rupees (INR - ₹) for Indian residents (GST inclusive/itemized).
• Refund Guarantee: 14-Day Money-Back Guarantee for initial SaaS subscription tiers.
• Content Ownership: Coaches retain 100% exclusive intellectual property ownership of their courses.
1. Business Information & Acceptance of Agreement
These Terms constitute a legally binding agreement between you ("User", "Coach", "Student", or "Subscriber") and:

2. Description of Products & Services Offered
CoachX is the operating system for coaches and Software-as-a-Service (SaaS) provider. Our services comprise:
- Course & Video Lesson Hosting: Cloud video delivery, student LMS progress tracking, downloadable PDF resources, quizzes, and certificates of completion.
- Live Cohort Workshops & Masterclasses: Interactive group webinar sessions, cohort schedules, replay archives, and live coaching access.
- AI Productivity Studios: AI Course Syllabus Generator, MindX Interactive Mind Mapping Canvas, AI Whiteboard Studio, Brainstorm Notes, and AI Roadmap Launch Architect.
- Marketing & Sales Infrastructure: Visual Funnel Builder, Landing Page Builder, automated CRM lead tracking, and WhatsApp / Email notification integrations.
- Community & Memberships: VIP student channels, peer discussion forums, and recurring membership communities.
All products, courses, software tools, and memberships are provided as 100% digital cloud services. Zero physical merchandise is sold or dispatched.
3. User Account Eligibility & Security
- Age Requirement: You must be at least 18 years of age to purchase or register an account. If you are between 13 and 18, you may only use the platform under active supervision of a parent or legal guardian.
- Account Confidentiality: You are responsible for maintaining the confidentiality of your login credentials. Sharing, reselling, or leasing account credentials with unauthorized third parties is strictly prohibited and constitutes grounds for immediate account suspension without refund.
- Accurate Information: You agree to provide true, accurate, and complete information during registration and checkout.
4. Pricing, Currency & Payment Terms
A. Transaction Currency: For customers residing in India, all fees, course prices, and SaaS subscriptions are displayed and billed in Indian Rupees (INR - ₹). International purchases may be processed in US Dollars (USD - $) as displayed at checkout.
B. Taxation: Applicable taxes, including Indian Goods and Services Tax (GST), are clearly disclosed prior to checkout and itemized on your automated digital tax invoice.
C. Advance & Partial Payments: SaaS subscriptions and cohort workshop tickets require upfront payment in full prior to access provisioning. If installment or payment plan options are explicitly offered for high-ticket coaching programs, scheduled recurring payments must be maintained in good standing to prevent access interruption.
D. Certified Payment Gateways: Payments are processed via PCI-DSS Level 1 certified gateways including Zoho Payments, Razorpay, Paddle, or Stripe. CoachX does not store credit/debit card numbers or bank account passwords.
E. Reservation of Right to Update Pricing in Future: CoachX reserves the express right to review, modify, or update its plan fees, tier inclusions, cloud storage quotas, and add-on pricing at any time in the future to reflect infrastructure expansion or new features. In the event of a fee modification, active subscribers will be provided at least 15 calendar days advance notice (via dashboard notification or email) before the updated pricing applies to subsequent renewal billing cycles. Grandfathered rates, where explicitly granted, remain valid solely for continuous, uninterrupted active subscriptions.
F. Checkout Agreement & Mandatory Acceptance of Policies: Every customer, coach, and student, at the exact time of purchasing, subscribing, or upgrading to any plan, course, or add-on pack, expressly confirms that they have read, understood, and agreed to be legally bound by our Privacy Policy, Terms of Service, Fair Use Policy, and Refund Policy in effect at the time of purchase. Access is strictly conditioned upon acceptance of these terms.
5. Subscription Plans, Inclusions & Self-Cancellation
- 100 GB Cloud Storage Included Free: Standard coach plans include 100 GB of complimentary high-speed Cloud Video Storage (~120 hours of 1080p courses) with global CDN delivery and 0% CoachX platform commission on student sales.
- Free Trial: New coach accounts may receive a complimentary evaluation trial. No recurring charge occurs if cancelled before the trial conclusion.
- Automatic Renewals: Monthly and annual subscriptions automatically renew on their scheduled billing date unless cancelled by the user.
- 1-Click Cancellation: You may cancel recurring billing at any time with zero hassle from your coach dashboard settings or by contacting hello@smartcoachx.com. Upon cancellation, your workspace remains fully functional until the end of your paid billing term.
6. Refund, Return & Digital Replacement Policy
A. 14-Day Money-Back Guarantee: We offer a 100% money-back guarantee for first-time SaaS subscription purchases requested within 14 calendar days of payment.
B. Digital Return & Replacement Terms: Because CoachX provides digital software and streaming course access, physical product returns do not apply. However, if a user experiences digital access failure, stream corruption, or software errors, CoachX guarantees immediate Digital Replacement and Access Restoration within 24 business hours.
C. Processing Timeline: Approved refunds are credited directly back to the original source of payment within 5 to 7 business banking days. Full details are set forth in our dedicated Refund & Cancellation Policy.
7. Intellectual Property & Content Ownership
- Coach Content Ownership: Coaches retain 100% complete and exclusive intellectual property ownership of all course videos, syllabi, PDFs, graphics, and student assignments uploaded to their private workspace. CoachX claims zero proprietary rights over your educational materials.
- Platform Software Rights: The CoachX platform, domain engine, source code, logos, trademarks, and user interfaces are the exclusive proprietary property of Subhash Yadav / CoachX. You may not reverse-engineer, decompile, copy, or redistribute platform code.
8. Fair Use Policy (FUP) & Acceptable Platform Use
A. Baseline 100 GB Cloud Storage: Each active coach subscription includes 100 GB of free cloud video storage and included high-speed CDN streaming bandwidth under this Fair Use Policy.
B. Permitted Educational Use: Platform storage and CDN streaming are strictly dedicated to genuine coaching, online masterclasses, curriculum videos, workshop recordings, and student downloadable materials. Using platform storage as general raw file dumping, uncompressed video archival, torrenting, or reselling cloud storage to third parties is strictly prohibited.
C. Single-File Upload Optimization: To ensure sub-second video start times for students across mobile and desktop devices, single video file uploads are capped at 2.5 GB per file (4 GB on Enterprise). Videos should be compressed using standard H.264/AAC at 1080p before uploading.
D. Quota Expansion & Fair Bandwidth Allocation: When a coach approaches their 100 GB baseline, they may purchase on-demand storage (+50 GB, +100 GB, +250 GB) or bandwidth (+500 GB) boost packs. If extreme, automated, or abusive bandwidth consumption is detected that impairs infrastructure performance for other coaches, CoachX reserves the right to throttle streaming or require an add-on boost upgrade.
In addition, users and coaches expressly agree NOT to:
- Upload, host, or distribute content that is illegal, defamatory, obscene, pornographic, fraudulent, or promotes hate speech.
- Promote deceptive get-rich-quick schemes, unregulated multi-level marketing (MLM), or unlawful financial instruments.
- Transmit malware, viruses, worms, or code designed to disrupt server infrastructure.
- Attempt unauthorized penetration testing or cross-tenant data scraping against other coach workspaces.
Violation of this Fair Use Policy will result in immediate workspace suspension or termination without refund eligibility, and potential reporting to statutory law enforcement authorities.
9. Educational & Earnings Disclaimer
CoachX provides educational technology, workflow tools, and software infrastructure. We make no representation or guarantee that any user or coach will achieve specific business revenue, income targets, or career outcomes. Success depends entirely on individual dedication, marketing skill, market demand, and business execution. Refer to our Disclaimer Page for additional details.
10. Export Restrictions & Statutory Compliance
CoachX software and digital services are provided in strict compliance with the laws of India, international export control regulations, and OFAC economic sanctions. Services may not be accessed from prohibited jurisdictions or by individuals on official denied-persons lists.
11. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.
